Eine zentrale Figur in diesem Zusammenhang ist der <strong>Verj\u00e4hrungseinredeverzicht<\/strong>, mit dem der Schuldner auf die Erhebung der Verj\u00e4hrungseinrede verzichtet \u2013 jedoch <strong>ohne Anerkennung der Schuld<\/strong>.<\/p>\n<p><strong>1. Begriff und Wirkung<br \/>\n<\/strong>Der Verj\u00e4hrungseinredeverzicht f\u00fchrt <strong>nicht zum Untergang der Forderung<\/strong>, sondern hindert lediglich deren Durchsetzbarkeit. Die Verj\u00e4hrung ist w\u00e4hrend der Verzichtsdauer so zu behandeln, <strong>als w\u00e4re sie nicht eingetreten<\/strong>. <strong>Hemmung und Unterbrechung<\/strong> der Verj\u00e4hrung sind auch w\u00e4hrend des Verzichtszeitraums m\u00f6glich (Art.\u00a0134\u00a0f. OR). Eine Forderung kann trotz Verj\u00e4hrungseinredeverzicht <strong>nicht unverj\u00e4hrbar gemacht<\/strong> werden.<\/p>\n<p><strong>2. Dauer und Form<br \/>\n<\/strong>Der Verj\u00e4hrungseinredeverzicht muss <strong>schriftlich<\/strong> erkl\u00e4rt werden (Art.\u00a0141 Abs.\u00a01<sup>bis<\/sup> OR). Die <strong>maximale Verzichtsdauer betr\u00e4gt 10 Jahre<\/strong>, selbst wenn der Verj\u00e4hrungseinredeverzicht ohne bestimmte Dauer bzw. unbefristet erkl\u00e4rt wird. Eine Verl\u00e4ngerung ist m\u00f6glich, ein <strong>Widerruf grunds\u00e4tzlich nicht<\/strong> \u2013 ausser in engen Schranken gem\u00e4ss Art.\u00a09 OR.<\/p>\n<p><strong>3. Zeitpunkt und Voraussetzungen<br \/>\n<\/strong>Der Verzicht darf <strong>erst ab Beginn der Verj\u00e4hrung<\/strong> erkl\u00e4rt werden (Verbot des Vorausverzichts). Der Verzicht soll in der Praxis \u00fcblicherweise <strong>nur f\u00fcr Forderungen gelten, die im Zeitpunkt der Erkl\u00e4rung noch nicht verj\u00e4hrt sind<\/strong>.<\/p>\n<p><strong>4. Inhaltliche Anforderungen<br \/>\n<\/strong>Die Erkl\u00e4rung muss mindestens enthalten:<br \/>\n1. Bezeichnung von Schuldner und Gl\u00e4ubiger<br \/>\n2. Forderung (bestimmt oder bestimmbar)<br \/>\n3. Verzichtswille<\/p>\n<p>Die <strong>Verzichtsdauer<\/strong> sollte angegeben werden. Falls nicht, gilt vermutlich die gesetzliche H\u00f6chstdauer.<br \/>\nDer Verzicht kann <strong>auf einzelne Forderungsteile beschr\u00e4nkt werden<\/strong>, was zu einer <strong>Spaltung des Verj\u00e4hrungslaufs<\/strong> f\u00fchrt.<\/p>\n<p><strong>5. Verzicht in AGB<br \/>\n<\/strong>Gem\u00e4ss Art.\u00a0141 Abs.\u00a01<sup>bis<\/sup> Satz\u00a02 OR kann <strong>nur der Verwender<\/strong> von AGB wirksam auf die Erhebung der Verj\u00e4hrungseinrede verzichten. Ein entsprechender Verzicht der Gegenpartei in den AGB des Verwenders ist <strong>ung\u00fcltig<\/strong>.<\/p>\n<p><strong>6. Praktische Bedeutung<br \/>\n<\/strong>Der Verj\u00e4hrungseinredeverzicht bietet Parteien die M\u00f6glichkeit, <strong>kostenpflichtige Unterbrechungsmassnahmen<\/strong> (z.B. Klage oder Betreibung) zu vermeiden und dennoch die Forderung zu sichern.<\/p>\n<p>Er schafft <strong>zeitlichen Spielraum<\/strong>, um z.B. Vergleichsverhandlungen zu f\u00fchren oder den Sachverhalt n\u00e4her festzustellen und den Schaden zu beziffern<\/p>\n<p><strong>7. Formulierungsvorschlag f\u00fcr die Praxis<\/strong>[Name, Adresse] verzichtet hiermit gegen\u00fcber [Name, Adresse] bis am [Datum] \/ f\u00fcr [ANZAHL] Jahre auf die Erhebung der Verj\u00e4hrungseinrede betreffend s\u00e4mtliche Forderungen aus [Vertragsverh\u00e4ltnis\/Schadenereignis]. Der vorliegende Verj\u00e4hrungseinredeverzicht bewirkt die Verl\u00e4ngerung des Verj\u00e4hrungslaufs nach Massgabe der Verzichtsdauer. Die Verj\u00e4hrungsfrist kann w\u00e4hrend der Verzichtsdauer namentlich unterbrochen und gehemmt werden. Dieser Verj\u00e4hrungseinredeverzicht erfolgt unpr\u00e4judiziell und ohne Anerkennung einer Rechtspflicht.
