It was introduced under the Federal Act on the Transparency of Legal Entities and aims to improve transparency and prevent misuse of corporate structures. On 12 June 2026, the Federal Council decided that the TJPG will enter into force on 1 October 2026.<\/p>\n<p><span style=\"color: #71b62c;\">Please contact us to find out how this new register will affect your business.<\/span><\/p>\n<ol start=\"2\">\n<li><strong> Why has Switzerland introduced this register?<\/strong><\/li>\n<\/ol>\n<p>The main objective is to strengthen anti-money laundering measures and align Switzerland with international transparency standards.<\/p>\n<p><span style=\"color: #71b62c;\">There may be broader regulatory implications for your business \u2013 it may be advisable to review the governance and ownership structures.<\/span><\/p>\n<ol start=\"3\">\n<li><strong> When will the new rules apply?<\/strong><\/li>\n<\/ol>\n<p>The legislation was adopted in September 2025 and will come into force on 1 October 2026, with transitional periods for existing companies.<\/p>\n<p><span style=\"color: #71b62c;\">Early preparation can help your company meet the new requirements smoothly once legislation is adopted.<\/span><\/p>\n<ol start=\"4\">\n<li><strong> Which companies are affected?<\/strong><\/li>\n<\/ol>\n<p>Mandatory reporting applies to most Swiss legal entities, including AGs, GmbHs, cooperatives and certain investment structures, as well as foreign entities with a connection to Switzerland (for example, a Swiss branch or real estate). (Non-profit entities, such as associations and foundations are exempt from the reporting requirement.) <\/p>\n<p><span style=\"color: #71b62c;\">Check whether your company is affected by this policy.<\/span><\/p>\n<ol start=\"5\">\n<li><strong> What information must be reported?<\/strong><\/li>\n<\/ol>\n<p>Companies must identify their beneficial owners, verify their identity, document the ownership and control structure, and report this information to the register.<\/p>\n<p><span style=\"color: #71b62c;\">Complex ownership chains often require careful analysis to identify the correct beneficial owners. You are welcome to contact us to accompany you during this process.<\/span><\/p>\n<ol start=\"6\">\n<li><strong> Who is considered a beneficial owner?Wer gilt als wirtschaftlich berechtigte Person?<\/strong><\/li>\n<\/ol>\n<p>A beneficial owner is generally a natural person who ultimately controls a company, for example by holding at least 25% of the capital or voting rights, directly or indirectly, or otherwise exercising control.<\/p>\n<p><span style=\"color: #71b62c;\">Please feel free to contact us for support in identifying the correct beneficial owners within complex structures.<\/span><\/p>\n<ol start=\"7\">\n<li><strong> How and when must reporting be made?<\/strong><\/li>\n<\/ol>\n<p>Companies must declare their beneficial owners electronically, generally within one month of incorporation or any relevant change. Registration itself is free of charge.  <\/p>\n<p><span style=\"color: #71b62c;\">Timely and accurate reporting are strongly advised to avoid compliance issues.
